General

99Vine provides you with access to the site www.99Vine.com, and its associated services (the "Site").Your access or use of the Site, constitutes your agreement to comply with and be bound by the following terms of use as described herein.

User Submitted Content

You are solely responsible for any content that you post on or through the site or service. Content includes, but is not limited to, personal data, communications, photographs, images, audio, video ("User Content"). You may not post User Content that you did not create or do not have permission to post. 99Vine may, but is not obligated to, remove User Content that it deems inappropriate. 99Vine reserves the right, but is under no obligation, to terminate your access to the site and service at any time.

Licenses

You hereby grant 99Vine a worldwide, non-exclusive, fully paid-up, royalty-free, perpetual, irrevocable, fully sublicensable, and fully transferable license to use, reproduce, distribute, modify, adapt, prepare derivative works of, incorporate into other works, display, perform, and otherwise exploit User Content for any purpose, including without limitation promoting and redistributing part or all of the Site (and derivative works thereof) in any media formats and through any media channels now known or later developed ("Downstream Distributions"). You also hereby grant other users of the Site use of any Downstream Distributions a non-exclusive license to access, use, reproduce, distribute, display, and perform User Content for their personal, noncommercial use in connection with their use of the Site and any Downstream Distributions, as expressly permitted by the functionality of the Site and any applicable Downstream Distribution, and the Terms of Use of this Site and terms of use of any applicable Downstream Distribution. In addition, you grant 99Vine and their respective sublicensees the right to associate and display your account name with User Content. You agree to irrevocably waive (and cause to be waived) any claims and assertions of moral rights or attribution with respect to User Content.

Third Party Content

The service provides access to third party content in the form of links to third party sites and real estate listings. 99Vine is not responsible for such third party content, does not endorse any third party sites, and will not be liable for dealings with a third party that results from access via the Site. For specific advice on legal, financial or real estate matters, you should always seek the advice of a professional who is licensed and knowledgeable in that area, such as an attorney, accountant or real estate agent or broker.

Site Content

99Vine may delete any Content that in the sole judgment of 99Vine violates these Terms of Use or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. 99Vine assumes no responsibility for monitoring the Site for appropriate content or conduct. If at any time 99Vine chooses, in its sole discretion, to monitor the Site, 99Vine nonetheless assumes no responsibility for User Content or Third-Party Content, no obligation to modify or remove any inappropriate User Content or Third-Party Content, and no responsibility for the conduct of users of the Site in submitting any such User Content.

The site and the service are provided "as is" and 99vine disclaims any and all representations and warranties, whether express or implied, including implied warranties of title, merchantability, fitness for a particular purpose, or non-infringement. 99vine will not be held liable for any damages incurred as a result of accessing site content. Limitation of liability in no event shall 99vine, its officers, directors, agents, affiliates, employees, advertisers, or data providers be liable for any indirect, special, incidental, consequential or punitive damages (including but not limited to loss of use, loss of profits, or loss of data) whether in an action in contract, tort (including but not limited to negligence), equity or otherwise, arising out of or in any way connected with the use of this site, the materials or services. Miscellaneous

These Terms of Use shall be governed by, and construed in accordance with, the laws of the State of New York, without regard to its conflict of law provisions. The failure of 99Vine to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. If any provision is held invalid, the remainder of these Terms of Use shall continue in full force and effect. These Terms of Use constitute the entire agreement between you and 99Vine regarding the use of the site and/or the service, superseding any prior agreements between you and 99Vine relating to your use of the site or the service.
